Transfer of Common Shares of Gaia Grow Corp.

TheNewswire – August 9, 2021 – Transcend Capital Inc. (“Transcend”), a company controlled by Etienne Moshevich, has transferred ownership of 9,409,500 common shares of Gaia Grow Corp. (the “Issuer”), representing approximately 2.82% of the Issuer’s current issued and outstanding common shares. Following completion of the transfer, Transcend, and Mr. Moshevich, have ownership and control of 34,501,500 common shares of the Issuer, representing approximately 10.33% of the Issuer’s current issued and outstanding common shares.

The shares were transferred in a private transaction and Transcend did not receive any direct consideration for the shares. In the future, additional securities of the Issuer may be acquired or disposed of by Transcend, or Mr. Moshevich, as circumstances or market conditions may warrant.
